# What must a public company disclose in the MD&A section under Regulation S-K Item 303? Answer in under 100 words. Cite only eCFR (www.ecfr.gov) sources.

Under Regulation S-K Item 303 (17 CFR 229.303), a public company must disclose in its MD&A a discussion of liquidity and capital resources (including short-term and long-term cash requirements), results of operations (including unusual events, trends, and material changes in revenue), and critical accounting estimates with significant estimation uncertainty. The discussion must also address material events and uncertainties that could affect future financial condition or results.

## Details / How it works

The MD&A must cover:

- **Liquidity and capital resources**: Analyze the registrant's ability to generate and obtain adequate cash, including short-term (next 12 months) and long-term needs, material cash requirements from contractual obligations, and internal/external sources of liquidity. (17 CFR 229.303(b)(1))
- **Results of operations**: Describe unusual or infrequent events, significant economic changes, trends or uncertainties materially affecting income from continuing operations, and changes in net sales or revenue attributable to price, volume, or new products/services. (17 CFR 229.303(b)(2))
- **Critical accounting estimates**: Provide qualitative and quantitative information about estimates made under GAAP that involve significant uncertainty and are reasonably likely to have a material impact. Explain why the estimate is uncertain, how it has changed, and its sensitivity to assumptions and methods. (17 CFR 229.303(b)(3))
- **Material events and uncertainties**: Focus on events and uncertainties known to management that are reasonably likely to cause reported financial information not to be indicative of future results. (17 CFR 229.303(a))

## Exceptions & edge cases

- **Smaller reporting companies**: May limit the MD&A discussion to the two-year period required by Article 8 of Regulation S-X. (Instruction 1 to paragraph (b))
- **Emerging growth companies**: In an initial public offering, may provide MD&A for only the two most recent fiscal years if audited financial statements for two years are provided. (Instruction 1 to paragraph (b))
- **Foreign private issuers**: Must discuss governmental economic, fiscal, monetary, or political policies that materially affect operations, and consider hyperinflation impacts if applicable. (Instruction 9 to paragraph (b))
- **Off-balance sheet arrangements**: Must discuss commitments or obligations from arrangements with unconsolidated entities that could materially affect financial condition. (Instruction 8 to paragraph (b))
